Terms of Service

The agreement between Desh Universal and the institution that subscribes to OMRpro.

1. What the service is

OMRpro is optical mark recognition software for educational institutions. It consists of a Windows desktop application that scans and evaluates answer sheets, and a web portal for managing exams, users, templates and results. A subscription grants an institution the right to use both for its own examinations.

2. Accounts and users

• An institution's administrator invites users and assigns each a role: Admin, Examiner or Viewer.
• Accounts are for named individuals. Sharing one login between people is not permitted, and makes the audit log meaningless.
• The institution is responsible for what its users do with their accounts, and for removing access when someone leaves.

3. Plans and seats

• Plans are annual. The current tiers are Basic (1 user), Standard (5 users), Professional (15 users) and Enterprise (custom). Pricing is being finalised and is quoted per institution during the beta.
• A user seat and a machine seat are different things: a user seat is a person, a machine seat is a scanning PC that has been activated.
• Pending invitations count toward the user limit, because the seat is being held.
• An administrator can release a machine seat at any time from the portal; that machine then has to sign in again to scan.

4. Your data

The institution owns the exam and student data it enters. We process it to provide the service. What is collected, what stays on your own computers and what is transmitted are described in the Privacy Policy, which forms part of these terms.

5. Acceptable use

• Use the service for your own institution's examinations.
• Do not resell access, or use one subscription to run examinations for unrelated institutions.
• Do not attempt to circumvent seat limits, licence checks or another institution's data boundary.
• Do not upload material you do not have the right to use.

6. Availability

Scanning is deliberately designed to work offline: an interruption to the service, or to your internet connection, does not stop an exam being scanned and scored on the desktop application. Syncing, the portal and result sharing do require connectivity.

To be settled with counsel: whether any uptime commitment is offered for the portal and API, and what remedy applies if it is missed.

7. Fees and renewal

To be settled with counsel: billing cycle and invoicing terms, what happens on non-payment, whether renewal is automatic, notice periods, and refund policy. Nothing on this page should currently be relied on as the commercial agreement — the signed order or invoice governs.

8. Suspension and termination

To be settled with counsel: the grounds and notice for suspending or terminating an account, the institution's right to terminate, and — importantly — how long data remains retrievable afterwards and in what format it can be exported.

9. Warranties and liability

To be settled with counsel. This section needs particular care for this product: an OMR system produces marks that affect students' results, and the allocation of responsibility for a misread sheet — between the software, the print quality of the sheets, the scanner and the operator's review of flagged sheets — is the substance of the agreement, not boilerplate.

10. Changes to these terms

To be settled with counsel: how changes are notified and when they take effect.

11. Governing law

To be settled with counsel: governing law and the forum for disputes. Expected to be Bangladesh, but that is a decision to be taken, not assumed.

12. Language
